“THIS SPONSORSHIP AGREEMENT (“Agreement”) is entered into this ______ day of _______, 20______ (“Effective Date”), by and between ___________, a ___________ organized under the laws of India, with its principal place of business at ___________ (“Sponsor”), and ___________, a ___________ organized under the laws of India, with its principal place of business at ___________ (“Sponsee”). 1. DEFINITIONS: In this Agreement, the following terms shall have the meanings ascribed to them below: 1.1. “”Event”” refers to ___________. 1.2. “”Sponsorship”” refers to the support provided by the Sponsor to the Sponsee. 1.3. “”Sponsorship Rights”” refers to the benefits, rights and entitlements granted to the Sponsor. 2. TERM: This Agreement shall commence on the Effective Date and continue until ___________, unless terminated earlier in accordance with this Agreement. 3. SPONSORSHIP: The Sponsor agrees to provide sponsorship for the Event, as detailed in Schedule A attached hereto. 4. SPONSORSHIP RIGHTS: The Sponsee grants the Sponsor the Sponsorship Rights as detailed in Schedule B attached hereto. 5. PAYMENTS: The Sponsor shall make payments to the Sponsee as detailed in Schedule C attached hereto. 6. REPRESENTATIONS AND WARRANTIES: Each party represents and warrants that it has the full power and authority to enter into and perform this Agreement. 7. INDEMNITY: Each party agrees to indemnify, defend and hold harmless the other party from any and all claims, damages, losses and expenses arising out of or relating to any breach of this Agreement. 8. CONFIDENTIALITY: Each party agrees to keep confidential all information received from the other party that is marked or otherwise identified as confidential. 9. INTELLECTUAL PROPERTY: All intellectual property rights in and to the Sponsorship and the Event shall remain the property of the respective parties. 10. TERMINATION: Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 30 days of receipt of such notice. 11. DISPUTE RESOLUTION: Any disputes arising out of or relating to this Agreement shall be resolved by arbitration in accordance with the rules of the Indian Council of Arbitration. 12. GOVERNING LAW: This Agreement shall be governed by and construed in accordance with the laws of India. 13. JURISDICTION: The courts of _________, India, shall have exclusive jurisdiction over any disputes arising out of or relating to this Agreement. 14. NOTICES: Any notices under this Agreement shall be in writing and shall be delivered by hand, sent by registered post or email to the addresses mentioned above. 15. WAIVER: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term. 16. FORCE MAJEURE: Neither party shall be liable for any failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control. 17. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to its subject matter. 18. AMENDMENT: This Agreement may be amended only by a written agreement signed by both parties. 19. ASSIGNMENT: Neither party may assign this Agreement without the prior written consent of the other party. 20. SEVERABILITY: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 21. COUNTERPARTS: This Agreement may be executed in counterparts, each of which shall be deemed an original. 22. PUBLICITY: Neither party shall make any public announcements relating to this Agreement without the prior written consent of the other party. 23. RELATIONSHIP OF THE PARTIES: The parties are independent contractors and nothing in this Agreement shall be construed to create a partnership, joint venture or agency relationship. 24. NO THIRD PARTY BENEFICIARIES: This Agreement is for the benefit of the parties and is not intended to confer any rights or benefits on any third party. 25. SURVIVAL: The provisions of this Agreement that by their nature should survive termination or expiration of this Agreement shall survive. 26. NO IMPLIED WAIVER: No failure or delay by either party in exercising any right or remedy under this Agreement shall operate as a waiver of that right or remedy. 27. CUMULATIVE REMEDIES: The rights and remedies under this Agreement are cumulative and are not exclusive of any rights or remedies provided by law. 28. FURTHER ASSURANCES: Each party shall do and perform, or cause to be done and performed, all such further acts and things, and shall execute and deliver all such other agreements, certificates, instruments and documents, as the other party may reasonably request. 29. HEADINGS: The headings in this Agreement are for reference only and shall not affect the interpretation of this Agreement. 30. INTERPRETATION: In this Agreement, unless the context otherwise requires, words in singular include the plural and vice versa and words in one gender include all genders.
