**LEASE DEED AGREEMENT** THIS LEASE DEED AGREEMENT ("Agreement") is made on this ___ day of ___, 20___ (the "Effective Date") between: ________________ ("Lessor"), a company incorporated under the laws of India, having its registered office at _________________, AND ________________ ("Lessee"), a company incorporated under the laws of India, having its registered office at _________________. Each of the Lessor and the Lessee are individually referred to as a "Party" and collectively as the "Parties". WHEREAS, the Lessor is the owner of the premises situated at ___________ ("Premises"), and wishes to lease the same to the Lessee, and the Lessee wishes to lease the Premises from the Lessor, on the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the covenants and promises made herein, the Parties agree as follows: **1. DEFINITIONS** 1.1 "Lease Term" shall mean the period commencing from _______ and ending on _______. 1.2 "Rent" shall mean the amount payable by the Lessee to the Lessor for the lease of the Premises. **2. LEASE OF PREMISES** 2.1 Subject to the terms and conditions of this Agreement, the Lessor hereby leases the Premises to the Lessee and the Lessee hereby takes on lease the Premises from the Lessor. **3. RENT AND PAYMENT TERMS** 3.1 The Rent for the Premises shall be ________ per month, payable on the first day of each calendar month. **4. SECURITY DEPOSIT** 4.1 The Lessee shall pay to the Lessor a security deposit of ________, to be refunded upon termination of this Agreement, subject to any deductions for unpaid Rent, damages beyond normal wear and tear, or any other amount due to the Lessor under this Agreement. **5. USE OF PREMISES** 5.1 The Lessee shall use the Premises for ___________ purposes only. **6. MAINTENANCE AND REPAIRS** 6.1 The Lessee shall keep the Premises in good and tenantable condition. **7. INSURANCE** 7.1 The Lessee shall obtain appropriate insurance for the Premises. **8. TERMINATION** 8.1 Either Party may terminate this Agreement by giving ________ months' written notice to the other Party. **9. INDEMNITY** 9.1 The Lessee shall indemnify the Lessor against any losses, damages, costs, expenses, claims, or liabilities incurred by the Lessor due to the Lessee's use of the Premises. **10. DISPUTE RESOLUTION** 10.1 Any dispute arising out of this Agreement shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996. **11. GOVERNING LAW AND JURISDICTION** 11.1 This Agreement shall be governed by and construed in accordance with the laws of India. The courts at ________ shall have exclusive jurisdiction over any disputes arising out of this Agreement. **12. CONFIDENTIALITY** 12.1 The Parties agree to keep confidential all information obtained from the other Party under this Agreement. **13. ENTIRE AGREEMENT** 13.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and representations, whether oral or written. **14. AMENDMENTS** 14.1 This Agreement may only be amended in writing, signed by both Parties. **15. WAIVER** 15.1 No waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party waiving its rights. **16. NOTICE** 16.1 Any notice required under this Agreement shall be in writing and delivered to the address of the Parties set forth above. **17. FORCE MAJEURE** 17.1 Neither Party shall be liable for any delay or failure in performance due to events outside its reasonable control. **18. SEVERABILITY** 18.1 If any provision of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. **19. ASSIGNMENT** 19.1 The Lessee shall not assign, transfer, or sublease the Premises without the prior written consent of the Lessor. **20. RELATIONSHIP OF PARTIES** 20.1 Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between the Parties. **21. BINDING EFFECT** 21.1 This Agreement shall bind and inure to the benefit of the Parties and their respective heirs, executors, administrators, successors, and permitted assigns.
