**GIFT DEED AGREEMENT**
THIS GIFT DEED (“Agreement”) is made on this ____ day of ________, 20____, by and between:
1. **PARTY OF THE FIRST PART**:
__________, (hereinafter referred to as the “Donor”), an individual residing at ________________,
AND
2. **PARTY OF THE SECOND PART**:
__________, (hereinafter referred to as the “Donee”), an individual residing at ________________.
Collectively referred to as the “Parties”.
WHEREAS, the Donor is desirous of making a gift to the Donee in the manner hereinafter appearing, and the Donee has agreed to accept the same.
NOW, THEREFORE, in consideration of the premises and the mutual covenants herein contained, it is hereby agreed as follows:
1. **DESCRIPTION OF GIFT**: The Donor hereby transfers and delivers to the Donee the following property as a gift, free from all liens and encumbrances: ________________.
2. **ACCEPTANCE**: The Donee hereby accepts the gift as described above and assumes the full ownership of the gift.
3. **DELIVERY AND ACCEPTANCE OF GIFT**: The Donor declares that the said gift has been delivered to the Donee, and the Donee has accepted the same.
4. **NO CONSIDERATION**: The Donor confirms that this gift is made out of love and affection, without any consideration.
5. **REPRESENTATIONS AND WARRANTIES**: The Donor represents that they are the true and lawful owner of the said gift and have full power to gift the same.
6. **INDEMNIFICATION**: The Donor hereby agrees to indemnify and hold harmless the Donee against any claims that may arise concerning the ownership of the gift.
7. **BINDING EFFECT**: This Deed shall bind and inure the benefit of the Parties and their respective heirs, executors, administrators, legal representatives, successors and assigns.
8. **WAIVER**: No waiver by any Party of any default shall operate as a waiver of any other default or of the same default on a future occasion.
9. **GOVERNING LAW AND JURISDICTION**: This Deed shall be governed by and construed in accordance with the laws of India. All disputes arising under this Deed shall be subject to the exclusive jurisdiction of the courts of _______ (City, State).
10. **ENTIRE AGREEMENT**: This Deed constitutes the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior agreements and understandings, both oral and written, between the Parties.
11. **MODIFICATION**: No modification of this Deed shall be valid unless in writing and agreed upon by both Parties.
12. **SEVERABILITY**: If any provision of this Deed is held to be invalid or unenforceable, then such provision shall be struck and the remaining provisions shall continue to be enforceable.
13. **FORCE MAJEURE**: Neither party will be responsible for any failure or delay in performance due to circumstances beyond its reasonable control.
14. **NOTICES**: Any notice required to be given under this Deed shall be in writing and delivered personally to the other designated party at the above-stated address or mailed by certified, registered or Express mail, return receipt requested.
15. **COUNTERPARTS**: This Deed may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
