**COPYRIGHT ASSIGNMENT AGREEMENT**
THIS COPYRIGHT ASSIGNMENT AGREEMENT (hereinafter referred to as the “Agreement”) is made this ______ day of ______, 20______, by and between:
___________________,
(hereinafter referred to as the “Assignor”),
AND
___________________,
(hereinafter referred to as the “Assignee”).
RECITALS
WHEREAS, the Assignor is the author and exclusive owner of copyrights in the work described herein;
WHEREAS, the Assignee desires to acquire all right, title, and interest in and to the copyrights of the said work;
NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
**1. DEFINITIONS**
1.1 “Work” refers to the original work of authorship described in Exhibit A, attached hereto and incorporated by reference herein.
1.2 “Copyright” refers to the exclusive legal rights granted by the Indian Copyright Act, 1957, as amended, to the author of an original work of authorship for the life of the author plus sixty years.
**2. ASSIGNMENT OF COPYRIGHT**
2.1 The Assignor hereby irrevocably assigns, transfers, and conveys to Assignee all of Assignor’s right, title, and interest in and to the Work and the Copyright.
**3. REPRESENTATIONS AND WARRANTIES**
3.1 The Assignor represents and warrants that it is the sole author and owner of the Work and the Copyright, and that it has full power and authority to enter into this Agreement.
**4. INDEMNIFICATION**
4.1 The Assignor shall indemnify and hold the Assignee harmless from and against any losses, damages, liabilities, costs, or expenses arising out of any breach of the representations and warranties made by the Assignor herein.
**5. CONFIDENTIALITY**
5.1 The Assignee shall keep confidential all non-public material and information which it receives in connection with this Agreement.
**6. TERM AND TERMINATION**
6.1 This Agreement shall commence on the Effective Date and shall continue in perpetuity unless and until terminated by mutual consent of the parties or by either party upon sixty (60) days written notice.
**7. CONSIDERATION**
7.1 In consideration for the assignment of the Copyright, the Assignee shall pay the Assignor the sum set forth in Exhibit B, attached hereto and incorporated by reference herein.
**8. GOVERNING LAW AND JURISDICTION**
8.1 This Agreement shall be governed by and interpreted in accordance with the laws of India, and the parties submit to the exclusive jurisdiction of the courts of ________.
**9. ENTIRE AGREEMENT**
9.1 This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written.
**10. AMENDMENT**
10.1 This Agreement may be modified or amended if the amendment is made in writing and is signed by both parties.
**11. SEVERABILITY**
11.1 If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
**12. WAIVER**
12.1 The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.
**13. BINDING EFFECT**
13.1 This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, legal representatives, successors and assigns.
**14. COUNTERPARTS**
14.1 This Agreement may be executed in counterparts, each of which shall be deemed to be an original, and all of which, taken together, shall constitute one and the same agreement.
