**CONSUMER WARRANTY AGREEMENT** THIS AGREEMENT is made on this ________ day of ________, 20______ (the "Effective Date") by and between: (1) ____________ (hereinafter referred to as the "Company"), having its registered office at ____________; and (2) ____________ (hereinafter referred to as the "Consumer"), residing at ____________. **PREAMBLE** WHEREAS, the Company manufactures and sells various products, and WHEREAS, the Consumer has purchased one such product from the Company, and WHEREAS, the Company wishes to provide a warranty for said product subject to the terms and conditions herein. **NOW, THEREFORE, the Company and the Consumer (collectively referred to as the "Parties") agree as follows:** 1. **DEFINITIONS AND INTERPRETATIONS** The definitions and rules of interpretation in this clause apply in this agreement. 2. **PRODUCT** The "Product" shall refer to the specific item purchased by the Consumer from the Company for which this Warranty Agreement is being issued. 3. **WARRANTY PERIOD** The "Warranty Period" shall refer to the period of ________ months/years commencing from the date of purchase of the Product by the Consumer. 4. **WARRANTY COVERAGE** The Company hereby warrants the Product against defects in material, design and workmanship under normal use during the Warranty Period. 5. **LIMITATION OF WARRANTY** This warranty does not cover any damage or defects caused by misuse, abuse, accidents, unauthorized service, or natural disasters. 6. **EXCLUSIONS FROM COVERAGE** The following are expressly excluded from the coverage of this Warranty: normal wear and tear, cosmetic damage, consumable parts, or any accessories. 7. **REPAIR AND REPLACEMENT** During the Warranty Period, the Company shall repair or replace, at its discretion, any defective Product without charge for parts or labor. 8. **NO OTHER WARRANTIES** This warranty replaces all other warranties, express or implied including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. 9. **LIABILITY LIMITATION** In no event shall the Company be liable for consequential, indirect, or incidental damages, even if it has been advised of the possibility of such damages. 10. **NOTICE OF DEFECT** The Consumer shall notify the Company in writing of any defect within ________ days of discovery of the defect. 11. **RETURN OF DEFECTIVE PRODUCT** Upon receipt of such notice, the Company shall provide instructions to the Consumer for the return of the defective Product. 12. **PRODUCT REGISTRATION** The Consumer must register the Product with the Company within ________ days of purchase to activate this warranty. 13. **TRANSFERABILITY OF WARRANTY** This Warranty is non-transferable and applies only to the original purchaser of the Product. 14. **GOVERNING LAW** This Agreement shall be governed by and construed in accordance with the laws of India. 15. **JURISDICTION** Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of ________ (city), India. 16. **FORCE MAJEURE** Neither Party shall be liable for any failure to perform its obligations if such failure results from circumstances beyond the reasonable control of the Party. 17. **SEVERABILITY** If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 18. **WAIVER** No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition. 19. **ENTIRE AGREEMENT** This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, representations, and understandings between them. 20. **AMENDMENT** No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties. 21. **NOTICES** Any notices under this Agreement shall be in writing and sent by registered post or email to the addresses first mentioned above. 22. **INDEMNITY** The Consumer agrees to indemnify, defend and hold the Company harmless from any claim, expense, or demand, including without limitation reasonable attorneys' fees, made by any third party due to or arising out of the Consumer's breach of this Agreement. 23. **ASSIGNMENT** The Company may assign its rights and obligations under this Agreement without the prior written consent of the Consumer. 24. **SURVIVAL** The terms which by their nature should survive the termination of this Agreement shall survive such termination. 25. **CONFIDENTIALITY** The Consumer agrees to keep confidential all non-public information that the Company discloses in connection with this Agreement. 26. **DISPUTE RESOLUTION** Any disputes arising out of this Agreement shall first be attempted to be resolved amicably by negotiation between the Parties. 27. **COUNTERPARTS** This Agreement may be executed in any number of counterparts, all of which taken together shall constitute one and the same agreement. 28. **INDEPENDENT ADVICE** The Consumer acknowledges that they have been advised to seek independent legal advice before entering into this Agreement. 29. **BINDING EFFECT** This Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, executors, administrators, successors, and assigns. 30. **ACKNOWLEDGEMENT** By signing this Agreement, the Consumer acknowledges that they have read, understood, and agree to be bound by its terms and conditions.
