**BILL OF SALE AGREEMENT**
THIS AGREEMENT is made on this ____ day of _________, 20_____
BETWEEN:
(1) [SELLER'S FULL NAME], a resident of [SELLER'S FULL ADDRESS], hereinafter referred to as the "Seller",
AND
(2) [BUYER'S FULL NAME], a resident of [BUYER'S FULL ADDRESS], hereinafter referred to as the "Buyer"
WHEREAS the Seller desires to sell and the Buyer desires to purchase the property described below under the terms and conditions herein described.
NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. **DESCRIPTION OF PROPERTY**: The Seller agrees to sell, and the Buyer agrees to buy the property more particularly described as: ___________________________________.
2. **PURCHASE PRICE**: The Buyer will pay the Seller the total amount of ________.
3. **PAYMENT METHOD**: The total amount shall be paid in __________ on the execution of this Agreement.
4. **CONVEYANCE OF PROPERTY**: Upon receipt of the Purchase Price, the Seller shall deliver the duly executed and acknowledged Bill of Sale to the Buyer.
5. **AS-IS SALE**: The Buyer acknowledges that the property is sold "AS IS" and the Seller disclaims all warranties, either express or implied, including but not limited to, implied warranties of merchantability or fitness for a particular purpose.
6. **RISK OF LOSS**: Any loss or damage to the property after the execution of this Agreement shall be borne by the Buyer.
7. **NON-DISCLOSURE**: The Buyer agrees to use the property for his/her own use and shall not disclose any details related to it to any third party without the prior written consent of the Seller.
8. **NO ASSIGNMENT**: Neither party may assign this Agreement without the prior written consent of the other party.
9. **GOVERNING LAW & JURISDICTION**: This Agreement shall be governed by and construed in accordance with the laws of [STATE NAME] and the parties submit to the exclusive jurisdiction of the courts of [STATE NAME].
10. **DISPUTE RESOLUTION**: Any disputes arising out of this Agreement shall be resolved through amicable negotiations, failing which, the matter shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
11. **SEVERABILITY**: If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement will remain in full force and effect.
12. **WAIVER**: No waiver by any party of any default shall be deemed as a waiver of any prior or subsequent default of the same or other provisions of this Agreement.
13. **ENTIRE AGREEMENT**: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
14. **AMENDMENT**: This Agreement may be amended or modified only by a written instrument executed by both the Seller and the Buyer.
15. **NOTICES**: Any notice required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally or sent by registered or certified mail, return receipt requested, to the address specified in this Agreement.
16. **TERMINATION**: This Agreement may be terminated by either party upon written notice to the other, if the other party breaches any material obligation provided hereunder and the breaching party fails to cure such breach within thirty (30) days of receipt of the notice.
17. **SURVIVAL**: The rights and obligations contained in this Agreement that by their nature and context are intended to survive the termination, cancellation or expiration of this Agreement shall survive.
18. **NON-COMPETE**: The Buyer agrees not to compete with the Seller in relation to the property for a period of ___ years.
19. **INDEMNIFICATION**: The Buyer shall indemnify and hold harmless the Seller from any damage, loss, or expense incurred by the Seller as a result of the Buyer's breach of this Agreement.
20. **FORCE MAJEURE**: Neither party shall be liable for any failure to perform its obligations under this Agreement if such failure is caused by acts of God, war, strikes, revolutions, lack or failure of transportation facilities, laws or governmental regulations, or other causes which are beyond the reasonable control of such party.
21. **COUNTERPARTS**: This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
22. **BINDING EFFECT**: This Agreement shall be binding upon and inure to the benefit of the Seller and the Buyer and their respective heirs, executors, administrators, successors and assigns.
23. **NO THIRD PARTY BENEFICIARIES**: This Agreement is for the sole benefit of the Seller and the Buyer and nothing herein expressed or implied shall give or be construed to give any person, other than the Seller and the Buyer, any legal or equitable rights hereunder.
24. **INSPECTION**: The Buyer has inspected the property and is satisfied with its condition.
25. **TITLE**: The Seller warrants that he/she is the legal owner of the property and that the property is free from all liens and encumbrances.
26. **TAXES AND FEES**: All taxes, fees, and costs related to the sale of the property shall be borne by the Seller unless otherwise provided in this Agreement.
27. **INDEPENDENT LEGAL ADVICE**: Each Party confirms that they have had the opportunity to take independent legal advice on the terms and effect of this Agreement.
28. **INTERPRETATION**: The headings in this Agreement are for convenience of reference only and shall not limit or otherwise affect the meaning hereof.
29. **CONFIDENTIALITY**: The Buyer agrees to keep confidential all non-public information that the Seller provides, even after this Agreement is terminated.
30. **EXECUTION**: The parties have executed this Agreement as of the date first above written.
